Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Docrity Inc. ("Docrity," "we," "us," or "our") governing your access to and use of Docrity's website, products, and services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.


1. Definitions

  • "Customer Data" means all data, content, code, documentation, and other materials that you submit to or process through the Services.
  • "Generated Documentation" means documentation, diagrams, and other outputs created by the Services based on Customer Data.
  • "Aggregated De-Identified Data" means data derived from Customer Data that has been aggregated and anonymized such that it cannot identify you or any individual.
  • "Third-Party Integrations" means third-party services connected to the Services, including version control systems, ticketing systems, and documentation platforms.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Docrity grants you a nonexclusive, limited, personal, nonsublicensable, nontransferable license to access and use the Services during the applicable subscription term solely for your internal business purposes.

This license does not include the right to: (a) sublicense, resell, or distribute the Services; (b) modify or create derivative works of the Services; (c) reverse engineer, decompile, or disassemble any portion of the Services; or (d) use the Services to build a competitive product or service.


3. Accounts and Access

3.1 Account Registration

To use the Services, you must create an account and provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Types

Docrity offers the following account types:

  • Free: Limited features with usage restrictions as described on our pricing page.
  • Pro: Full features for teams, subject to payment of applicable fees.
  • Enterprise: Custom terms as set forth in a separate agreement.

3.3 Authorized Users

You may permit your employees and contractors ("Authorized Users") to access the Services under your account. You are responsible for ensuring that all Authorized Users comply with these Terms and for any actions taken by Authorized Users.


4. Services

4.1 Service Description

The Services provide automated documentation capabilities, including:

  • Code analysis and documentation generation
  • Pull request documentation checks
  • Integration with Third-Party Integrations
  • Architecture diagram generation
  • Documentation synchronization and updates

4.2 Service Modifications

Docrity may modify the Services from time to time. We will use commercially reasonable efforts to notify you of material changes. Your continued use of the Services after such modifications constitutes acceptance of the modified Services.

4.3 Support

Docrity will provide support in accordance with the support level associated with your account type. Enterprise customers may negotiate custom support terms.


5. Customer Data and Intellectual Property

5.1 Ownership of Customer Data

You retain all ownership rights to Customer Data. Nothing in these Terms transfers ownership of Customer Data to Docrity.

5.2 License to Customer Data

You grant Docrity a nonexclusive, worldwide, royalty-free license to use, process, and display Customer Data solely as necessary to provide the Services and as otherwise permitted by these Terms.

5.3 AI and Machine Learning

DOCRITY WILL NOT USE CUSTOMER DATA TO TRAIN, FINE-TUNE, IMPROVE, OR DEVELOP ANY LARGE LANGUAGE MODELS OR OTHER MACHINE LEARNING MODELS.

The Services may use AI and machine learning technologies to analyze Customer Data and generate documentation in real-time. Such processing is performed solely to deliver the Services and does not result in retention of Customer Data for model training purposes.

5.4 Aggregated De-Identified Data

Docrity may create Aggregated De-Identified Data and use such data for any lawful purpose, including to improve the Services, conduct research, and create benchmarks. Aggregated De-Identified Data will not identify you or any individual.

5.5 Generated Documentation

You own all Generated Documentation created by the Services based on your Customer Data. Docrity retains no ownership rights to Generated Documentation.

5.6 Docrity Intellectual Property

Docrity and its licensors retain all ownership rights to the Services, including all software, algorithms, interfaces, documentation, and other materials. These Terms do not grant you any rights to Docrity's intellectual property except the limited license set forth in Section 2.

5.7 Feedback

If you provide suggestions, ideas, or other feedback regarding the Services ("Feedback"), you grant Docrity an unrestricted, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you.


6. Third-Party Integrations

The Services integrate with Third-Party Integrations at your direction. Your use of Third-Party Integrations is subject to the applicable third party's terms of service and privacy policy. You represent that you have the authority to connect Third-Party Integrations to the Services.

Docrity is not responsible for the availability, accuracy, or practices of Third-Party Integrations. We do not endorse and are not liable for any acts or omissions of third-party providers.


7. Payment Terms

7.1 Fees

You agree to pay all fees applicable to your account type as described on our pricing page or in an applicable order form. All fees are stated in United States dollars unless otherwise specified.

7.2 Billing

Fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Payment is due within thirty (30) days of invoice date. Overdue amounts accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

7.3 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes, except for taxes based on Docrity's net income.

7.4 No Refunds

All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

7.5 Price Changes

Docrity may change pricing upon thirty (30) days' notice. Price changes will take effect at the start of your next billing cycle.


8. Acceptable Use

You agree not to, and will not permit Authorized Users to:

  • Use the Services in violation of any applicable law or regulation
  • Infringe or misappropriate any intellectual property or other rights of any third party
  • Upload or transmit malicious code, viruses, or other harmful materials
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the Services or other users' use of the Services
  • Use the Services to build a competitive product or service
  • Reverse engineer, decompile, or disassemble any portion of the Services
  • Remove or alter any proprietary notices or labels on the Services
  • Use the Services for any illegal, harmful, or fraudulent purpose
  • Resell, redistribute, or provide access to the Services to third parties except as expressly permitted

9. Copyright and DMCA

9.1 Copyright Policy

Docrity respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.

9.2 DMCA Notice

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with a notice containing:

  1. A physical or electronic signature of the copyright owner or authorized agent
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the material that is claimed to be infringing and its location
  4. Your contact information (address, telephone number, email)
  5. A statement that you have a good faith belief that the use is not authorized
  6. A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

9.3 Copyright Agent

9.4 Repeat Infringers

Docrity may terminate the accounts of users who are determined to be repeat infringers.


10. Confidentiality

10.1 Definition

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

10.2 Obligations

Each party agrees to: (a) protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not use the other party's Confidential Information except as necessary to exercise its rights or perform its obligations under these Terms; and (c) not disclose the other party's Confidential Information to third parties except as permitted by these Terms.

10.3 Exceptions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was rightfully known to the receiving party prior to disclosure
  • Is rightfully obtained from a third party without restriction
  • Is independently developed without use of the disclosing party's Confidential Information

10.4 Required Disclosure

A party may disclose Confidential Information if required by law, provided that the party gives the other party reasonable prior notice (to the extent permitted by law) to allow the other party to seek a protective order.

10.5 Duration

Confidentiality obligations under this Section will remain in effect for five (5) years after disclosure, except that obligations with respect to trade secrets will continue for as long as the information remains a trade secret.


11. Term and Termination

11.1 Term

These Terms commence when you first access the Services and continue until terminated. Paid subscriptions will automatically renew for successive periods equal to the initial subscription term unless either party provides written notice of non-renewal at least thirty (30) days before the end of the then-current term.

11.2 Termination for Convenience

You may terminate your account at any time by contacting us or using the account settings. Free accounts may be terminated immediately. Paid accounts will remain active until the end of the current billing period.

11.3 Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party:

  • Materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice
  • Becomes insolvent, files for bankruptcy, or ceases operations

11.4 Suspension

Docrity may suspend your access to the Services if: (a) your payment is more than sixty (60) days overdue; (b) your use of the Services poses a security risk or may adversely affect the Services or other users; or (c) required by law.

11.5 Effect of Termination

Upon termination: (a) your right to use the Services immediately ceases; (b) Docrity will delete Customer Data within thirty (30) days, except as required by law; (c) you remain liable for any fees accrued prior to termination. The following sections survive termination: Definitions, Customer Data and Intellectual Property, Payment Terms (for accrued fees), Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and General Provisions.


12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

DOCRITY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOCRITY DOES NOT WARRANT THAT:

  • The Services will meet your requirements or expectations
  • The Services will be uninterrupted, timely, secure, or error-free
  • Generated Documentation will be accurate, complete, or suitable for any particular purpose
  • Any defects in the Services will be corrected

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING GENERATED DOCUMENTATION BEFORE USE. DOCRITY IS NOT LIABLE FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN GENERATED DOCUMENTATION.


13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCRITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER DOCRITY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Liability Cap

DOCRITY'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DOCRITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF NO FEES HAVE BEEN PAID.

13.3 Basis of the Bargain

The limitations in this Section reflect the allocation of risk between the parties and are an essential basis of the bargain between the parties. The Services would not be provided without these limitations.


14. Indemnification

You agree to indemnify, defend, and hold harmless Docrity and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Customer Data or your use of Generated Documentation

15. Free Tier

If you use the Services under a free account, you acknowledge that: (a) the Services are provided without any service level commitments or support obligations; (b) Docrity may modify, suspend, or discontinue free Services at any time without notice; and (c) the disclaimers and limitations of liability in these Terms apply with full force. FREE SERVICES ARE PROVIDED WITHOUT ANY WARRANTY WHATSOEVER.


16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

16.2 Arbitration

Any dispute arising from these Terms that cannot be resolved through informal negotiation shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware. Either party may seek injunctive relief in any court of competent jurisdiction.

16.3 Assignment

You may not assign these Terms without Docrity's prior written consent. Docrity may assign these Terms without restriction. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

16.4 Notices

Notices to Docrity must be sent to support@docrity.com. Notices to you will be sent to the email address associated with your account.

16.5 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Docrity regarding the Services and supersede all prior agreements and understandings.

16.6 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.7 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. No failure or delay in exercising any right shall constitute a waiver of that right.

16.8 Export Compliance

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, or a resident of, any country subject to U.S. trade sanctions.

16.9 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.


17. Changes to Terms

Docrity may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
